Terms of Service

1. Agreement to Terms
By accessing or using LexQ ("Service"), operated by LexQ, LLC ("Company", "we", "us"), you ("Customer", "you") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
LexQ is a cloud-based policy engine platform that enables compliance teams to create, manage, simulate, and deploy business rules. The Service includes the web console (console.lexq.io), API (api.lexq.io), and related documentation.
3. Account Registration
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials, including API keys. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription Plans and Billing
The Service is offered under multiple subscription tiers (Free, Growth, Pro) with varying usage limits. Paid plans are billed monthly. Usage exceeding plan limits may incur overage charges as specified in your plan. We reserve the right to modify pricing with 30 days' prior written notice. Refunds are not provided for partial months of service.
5. Customer Data Ownership
You retain all rights, title, and interest in your data, including policy definitions, rule configurations, execution inputs, and simulation data ("Customer Data"). We do not claim ownership of Customer Data. We access Customer Data solely to provide, maintain, and improve the Service, or as required by law.
6. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any part of the Service; (c) interfere with or disrupt the integrity or performance of the Service; (d) reverse engineer, decompile, or disassemble the Service; (e) use the Service to process data in violation of applicable regulations; (f) exceed rate limits or abuse API access; (g) resell or redistribute the Service without written consent.
7. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors beyond our reasonable control, including internet disruptions, third-party service failures, or force majeure events.
8. API Usage
API access is subject to rate limits and usage quotas defined by your subscription plan. API keys are confidential and must not be shared publicly or embedded in client-side code. We reserve the right to throttle or suspend API access that negatively impacts Service performance for other customers.
9. Intellectual Property
The Service, including its software, design, documentation, and branding, is owned by LexQ and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features. Policy rules and configurations you create using the Service remain your intellectual property.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEXQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
11. Indemnification
You agree to indemnify and hold harmless LexQ and its officers, directors, and employees from any claims, damages, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your Customer Data.
12. Termination
Either party may terminate this agreement at any time. You may cancel your account through the console or by contacting support. Upon termination, your right to access the Service ceases immediately. We will retain Customer Data for 30 days following termination, after which it will be permanently deleted. You may request data export prior to termination.
13. Modifications to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.
